TÉRMINOS Y CONDICIONES DE VENTA

Todos los pedidos enviados a Abyntek quedan supeditados a las siguientes condiciones:

PRODUCTOS DE CATÁLOGO:

1. A su recepción, los productos deben ser almacenados siguiendo las indicaciones del proveedor o Abyntek en su defecto. En caso de realizarse de otra manera Abyntek no se responsabilizará de los daños ocasionados al producto.

2. Abyntek no se responsabilizará de cualquier acontecimiento fortuito que pueda surgir más allá de su control razonable. Son considerados como acontecimientos fortuitos, pero no limitados a, conflictos de trabajo, retrasos de entrega de proveedores, guerras, fuego hostil, cataclismo, desastres naturales, acontecimientos que afecten a medios de transporte, problemas de organización internos de la empresa (enfermedades, fallos de equipos…). Los plazos de entrega mencionados en los presupuestos son tiempos aproximados que pueden variar por causas ajenas a nuestra voluntad.

3. Con excepción de que se establezca de otra manera, los términos de pago son de 30 días desde la fecha de la factura. En caso de incumplimiento total o parcial de las obligaciones de pago por parte del cliente ABYNTEK podrá cargar el interés anual de demora fijado por la Ley 3/2004, durante el plazo que transcurra desde la fecha en la que debió hacerse el pago y aquella en que la cantidad debida sea satisfecha. Igualmente, esto supondrá la parada del servicio.

4. Reemplazo de productos:

• A) Los productos deberían ser inspeccionados inmediatamente tras su recepción. Para cualquier reclamación, tendrá que haber una notificación del daño o de cualquier alteración en los primeros 5 días desde la recepción del producto, vía correo electrónico.
• B) En caso de requerir un reemplazo, los gastos derivados la tramitación del mismo corren a cargo del cliente, estos gastos de tramitación incluyen, pero no están limitados a: gastos de importación, envío, hielo seco…
• C) El reemplazo debe ser gestionado a través de Abyntek, en caso contrario, si el usuario final contacta directamente con la casa comercial, Abyntek se reserva el derecho de no gestionar la incidencia.

5. Una vez confirmado por parte de Abyntek la tramitación del pedido, este no podrá ser cancelado total ni parcialmente por el cliente.

PRODUCCIÓN DE ANTICUERPOS, PROTEÍNAS RECOMBINANTES, PÉTIDOS, ETC. A MEDIDA:

1. Se abonarán todas las etapas llevadas a cabo independientemente del resultado.

2. Cuando proceda, el cliente suministrará el antígeno necesario para todo el proceso, bajo las condiciones consensuadas con Abyntek. El cliente deberá asegurarse que su antígeno no contiene sustancias potencialmente nocivas para los animales (p.e., urea, formalina, azida sódica, glicerol, pH extremos, altas concentraciones de sales). Deberá aportar toda la información relacionada con los peligros biológicos sobre el material suministrado y los procedimientos de manejo particulares, si los hubiere, para ser seguidos por el personal de Abyntek.

3. Cualquier servicio o envío adicional que no esté incluido en este presupuesto deberá ser solicitado por escrito por parte del cliente. Tras su valoración, Abyntek pasará un presupuesto al cliente para que dé su aprobación, previo a la ejecución del mismo.

4. La fecha de recepción del pedido, no necesariamente tiene porqué coincidir con la fecha de inicio del proyecto.

5. En caso necesario de diseño y síntesis del péptido, una vez aceptado el pedido se llevará a cabo el estudio de viabilidad para la síntesis del mismo y/o modificaciones necesarias para su conjugación.

11. Abyntek no puede proporcionar ninguna garantía en relación al empleo de sus productos o servicios para un uso determinado:

A) El éxito del servicio de producción de un anticuerpo monoclonal y policlonal depende de la naturaleza de los antígenos y Abyntek, por lo tanto, no puede garantizar:

     i) La especificidad y sensibilidad de los anticuerpos.

     ii) El empleo apropiado de los anticuerpos en todos los usos.

     iii) La respuesta inmune de los animales.

B) En cuanto a la producción de proteína, Abyntek no puede garantizar:

     i) Que la reproducción en los vectores de expresión del cliente sea siempre factible.

     ii) El rendimiento y la calidad de la proteína (pureza, plegado, degradación).

     iii) Que la expresión de la proteína en sus cepas sea posible.

     iiii) La ausencia de variaciones en el rendimiento entre las pruebas de expresión y el escalado.

12) Abyntek se reserva el derecho de decidir abortar un proyecto en caso de inesperados acontecimientos técnicos (por ejemplo: inmunógenos no antigénicos, proteínas no expresadas, clonaciones complicadas, etc.). En caso de que esto sucediera, Abyntek dará las justificaciones pertinentes.

13) Abyntek se reserva el derecho de proporcionar determinados protocolos o información técnica que se considera know-how de la empresa.

14) En las etapas en las que se detalla que el cliente decide en función de los resultados si seguir adelante o no con el proyecto, dispondrá de 48-72 horas para hacernos llegar la decisión. Si no se obtiene respuesta trascurrido ese periodo de tiempo, se procederá a continuar con el siguiente paso con su consiguiente abono de las etapas.

15) Abyntek no se responsabilizará de retrasos ocasionados por la subcontratación de partes del servicio, o servicios adicionales solicitados por el cliente.

16) Excepto si se establece de otra manera, los riesgos de los bienes son transferidos al cliente una vez que la mercancía abandona nuestra compañía. El transporte de los bienes recae bajo la responsabilidad del comprador, así como su coste. Si el cliente estimase ser necesario la contratación de un seguro, correrán bajo su responsabilidad las gestiones y el coste de dicho seguro.

17) Una vez confirmada por Abyntek la tramitación del pedido formalizado por el cliente, no será posible su cancelación total ni parcial por parte de dicho cliente, salvo que en las condiciones acordadas para cada proyecto concreto se estipule lo contrario.

18) Abyntek se reserva el derecho de recurrir al servicio de a terceras empresas el llevar a cabo parte o la totalidad del proyecto sin consentimiento previo del cliente.

TERMS AND CONDITIONS OF SALE

The following terms and conditions apply to all orders placed with Abyntek:

CATALOG PRODUCTS

1) Upon receipt, the products must be stored following the indications of the supplier or Abyntek in its absence. If done otherwise, Abyntek will not be liable for damage caused to the product.

2) Abyntek will not be responsible for any fortuitous event that may arise beyond its reasonable control. They are considered as fortuitous events, but not limited to, labor conflicts, supplier delivery delays, wars, hostile fire, cataclysm, natural disasters, events that affect means of transport, internal organization problems of the company (diseases, failures of Equipements…). The delivery times mentioned in the estimates are approximate times that may vary due to causes beyond our control.

3) Except as stated otherwise, the payment terms are 30 days from the invoice date. In the event of total or partial breach of payment obligations by the client, ABYNTEK may charge the annual default interest set by Law 3/2004, during the period that elapses from the date on which the payment should have been made and that on that the amount due is satisfied. Likewise, this will stop the service.

4) Replacement of products:

A) Products should be checked immediately upon receipt. Any claim must be made within 5 days of receipt of the product, by email, reporting any damage or alteration.

B) If a replacement is required, the cost of the replacement will be paid by the customer, these costs include but are not limited to: import charges, shipping, dry ice, ….

C) The replacement must be managed by Abyntek, otherwise if the end user contacts the supplier directly, Abyntek reserves the option not to manage the claim.

5) Once the processing of the order made by the customer has been confirmed by Abyntek, its total or partial cancellation by said customer will not be possible.

PRODUCTION OF ANTIBODIES, RECOMBINANT PROTEINS, PETDES, ETC. TO MEASURE

1) All stages completed will be credited regardless of the result.

2) When applicable, the client will supply the necessary antigen for the entire process, under the conditions agreed with Abyntek. The client must ensure that his antigen does not contain potentially harmful substances for animals (eg, urea, formalin, sodium azide, glycerol, extreme pH, high concentrations of salts). You must provide all the information related to biological hazards on the supplied material and the particular handling procedures, if any, to be followed by Abyntek staff.

3) Any additional service or shipment that is not included in this estimate must be requested in writing by the customer. After its evaluation, Abyntek will send a budget to the client for approval, prior to its execution.

4) The date the order is received does not necessarily need to coincide with the start of the project.

5) If necessary for the design and synthesis of the peptide, once the order has been accepted, a feasibility study will be carried out for its synthesis and / or modifications necessary for its conjugation.

6) Upon receipt, the products must be stored according to Abyntek’s instructions. If done otherwise, Abyntek will not be liable for damage caused to the product.

7) Abyntek will not be responsible for any fortuitous event that may arise beyond its reasonable control. 9) The delivery times mentioned in the quotations are only approximate times, which may vary due to the nature of the project to be developed.

10) Product replacement: Products should be inspected immediately upon receipt. For any claim, there must be a notification of the damage or any alteration in the first 5 days from receipt of the product, via email or fax.

11) Abyntek cannot provide any guarantee regarding the use of its products or services for a specific use:

A) The success of the monoclonal and polyclonal antibody production service depends on the nature of the antigens and Abyntek, therefore, cannot guarantee:

     i) The specificity and sensitivity of the antibodies

     ii) The proper use of antibodies in all uses

B) The immune response of animals

     i) Regarding protein production, Abyntek cannot guarantee:

     ii) That the reproduction in the client’s expression vectors is always feasible

     iii) The yield and quality of the protein (purity, folding, degradation)

     iiii) That the expression of the protein in their strains is possible

     iiiii) The absence of variations in performance between expression tests and scaling.

12) Abyntek reserves the right to decide to abort a project in the event of unexpected technical events (eg: non-antigenic immunogens, unexpressed proteins, complicated cloning, etc.). In case this happens, Abyntek will give the pertinent justifications.

13) Abyntek reserves the right to provide certain protocols or technical information that is considered company know-how.

14) In stages where it is detailed that the client decides whether or not to proceed with the project, they will have 48-72 hours depending on the results, to let us know the decision. If no response is received after this period, we will proceed to the next step with the consequent payment of the stages.

15) Abyntek is not responsible for delays caused by subcontracting of parts of the service or additional services requested by the client.

16) Unless otherwise stated, the risk of the goods shall pass to the customer when the goods leave our premises. Transportation of the Goods shall be the responsibility of the Customer and the cost thereof shall be borne by the Customer. If the customer deems it necessary to take out insurance, he shall be responsible for the arrangements and costs of such insurance.

17) Once Abyntek has confirmed the processing of the order placed by the client, it will not be possible for the client to cancel it in whole or in part, unless otherwise stipulated in the conditions agreed for each specific project.

18) Abyntek reserves the right to use the services of third parties to carry out all or part of the project without the client’s prior consent.
